The Counselor Law Office for Legal Services was established on August, 2015 in Sana’a, Yemen Republic. We are specialized in Commercial and Business Law and relevant laws, namely Commercial Companies Law, Banking laws, Taxation, Insurance, and Trade & industry Marks laws. Our office provides various types of legal services to its clients local or foreign corporates and merchants as well as none-profit organizations relating to their different fields and activities. Our goal is to understand the targets and needs of our clients so as to provide them with the legal advices that serve their legitimate interests. We also collaborate with other law firms locally and regionally. We provide our services in Arabic and English.

Services

  • Providing verbal and written legal advices to our clients in particular with regard to the commercial & business fields based on the relevant Yemeni commercial laws.
  • Drafting, preparing and reviewing local and international commercial contracts and agreements with respect to the different commercial and business activities, pursuant to the local and international commercial law.  An example of such contracts and agreements are Services, Purchasing and Distribution agreements and also Technology Transfer agreements such as Software License Agreements.
  • Providing the proper advice to commercial project’ owners, with regard to choosing the appropriate legal form to such projects that serves the interests of the owners and shareholders, and helps in reducing their legal obligations.  This includes doing the required procedures before the competent authorities for the purpose of making the legal structure of the commercial project.
  • Bringing the companies’ awareness with regard to any foreseen risks and correcting legal shortcomings within the commercial entities.
  • Drafting, preparing and reviewing Construction and Contracting contracts and agreements relating, in particular to commercial projects.  This includes, contracts and agreements between the owner and contractor/contractors, or between contractor and sub-contractor and other contracts and agreements within the group of contracts and agreements related to the same projects.
  • Handling commercial cases and relevant cases before the competent Commercial courts and before specific courts such as tax court and before courts of general jurisdiction.
  • Handling commercial Arbitration cases (local or international) as an Arbitrator or as an advocate for a party in the Arbitration.  We also provide all legal services requested that related to the Arbitration procedures, in particular drafting and reviewing the Arbitration Agreement, pursuant to the applicable law.
  • Providing legal advices requested with respect to the employment law.  This includes, for example drafting, preparing and reviewing employment agreements and regulations and policies of the employer.
  • Providing, in general the legal advices, opinions and researches with respect to the various legal matters and issues, such as civil, criminal and family matters and issues, pursuant to the local laws and legislations.
  • Providing legal training to companies and other entities, such as courses in Employment laws, Ethics and Compliance (e.g., Code of Conduct) and other needed courses for employees.

  • Obtained an LLM degree from the UNIVERSITE de Cergy - Pontoise, France, in the French and European Union laws -Commercial laws and Business Ethics, 2010.
  • Obtained an LLB from the International Islamic University, Malaysia, 2003.
  • Licensed to practice law and plead cases before the Yemeni courts with their two instances.
  • A member of the Yemeni and Arab Bar Associations.
  • A member of the International Academy for Mediation and Arbitration” iama”, Egypt

 

Experience

Having accumulated experience in providing legal advices to merchants and corporates, including representing them before courts.  He provided complementary legal services to well-known international telecom corporates by drafting and reviewing Commercial Services agreements, Contracting and Construction Agreements, Commercial local Agency and Distribution Agreements, Software Agreements and International Commercial contracts made in relation to sale of goods and services.  Also, drafted and reviewed Companies’ Establishment Contracts along with their Articles of Association.  He provided advices to governmental and non-governmental organizations with respect to employment issues, projects and contracting agreements.  He gave advices in other areas of law as well, namely the Civil Law, Criminal law and Family law.  Also, having experience in lecturing in certain universities in Yemen.

Experience:

  • Experience in the fields of legal consultation, contracts and corporate governance, particularly in the oil and gas field, where he worked for many international petroleum companies such as Occidental Petroleum (OXY), TOTAL International, and the Austrian Petroleum Company (OMV). He also has experience working with foreign organizations, having worked as a rule of law expert for the United States Agency for International Development (USAID).
  • Lecturer of different subjects on Business Law at the Lebanese International University (LIU Yemen) and the International University of Technology Twintech (IUTT)
